Company: A Clinical-Stage Biotech Company
Overview: We are a dynamic and innovative clinical-stage biotech company based in China with expanding operations in the United States. We are seeking a highly experienced and strategic (Senior/Executive) Director of Corporate Legal to join our team in Beijing. This role is pivotal in managing and overseeing all corporate legal activities within China and supervising external legal services in the US and rest of world, ensuring compliance and protecting the company's interests.
Key Responsibilities:
1、 Corporate Legal Management (China):
-Independently handle all corporate legal matters in China, including contract management, regulatory compliance, corporate governance, and dispute resolution.·
-Provide legal advice and support to various departments within the company.
2、Corporate Legal Supervision (US):
-Oversee and manage corporate legal activities for the company in the US through coordinating and supervising external legal services.
-Ensure alignment with US laws and regulations, and provide strategic legal guidance on business operations in the US.
3、Intellectual Property (IP) Supervision:
-Coordinate and supervise external IP legal services in the US to manage and protect the company's intellectual property portfolio.
-Develop and implement IP strategies to support the company's R&D and business objectives.
4、 R&D Legal Support:
-Provide legal support for research and development activities, ensuring compliance with relevant laws and regulations.·
-Draft review, and negotiate R&D-related agreements, including collaboration, licensing, and partnership agreements.
5、Cross-Border Legal Coordination:
-Coordinate and collaborate with internal and external stakeholders to ensure seamless legal operations across China and the US.
-Stay updated on legal developments in both jurisdictions and advise the company on potential impacts.
Key Requirements:
-Location: Beijing, China
-Overall Experiences: Minimum of 7 years of legal experience, with strong background in corporate law and R&D legal activities, as well as adequate knowledge in intellectual property.
-MNC Experience: Proven experiences working in multinational corporations (MNCs) and/or major China biopharma/biotech companies, with a focus on cross-border legal management.
-Skills: Excellent legal drafting, negotiation, and communication skills. Ability to work independently and manage multiple priorities.
-Education: Admission to the bar in China and/or the US. Juris Doctor (JD) or equivalent legal degree from a recognized institution is preferred.
-Language: Proficiency in both Mandarin and English is required.
