Responsibilities：

- Draft, review and negotiate commercial agreements including terms and conditions for the sale of goods and services, services agreements/MSAs, purchase orders and other commercial documents and oversee the same in the regional business units ;

- Ensure compliance with the company’s third-party policies;

- Draft, review and negotiate confidentiality/non-disclosure agreements;

- Assist with analysis and reporting related to environmental, social and corporate governance (ESG) matters ;

- Assist HR with employment law related matters including policy issues and investigations;

- Ensure consistency of contract terms with company requirements and business objectives ;

- Identify legal issues raised by business units and work with business units to ensure compliance with all applicable laws and regulations ;

- Work with business units/internal clients to address outstanding issues with customers, vendors/suppliers and contractors ;

- Advise internal clients on the day-to-day interpretation and escalation of contractual provisions;

- Provide litigation support services including working with outside counsel, managing document production and performing document review;

- Perform due diligence for potential acquisitions, as requested;

- Provide support on corporate governance matters;

- Design and deliver targeted legal training to internal clients .

Requirements:

- JD from a law school;

- Professional experience in civil and common law countries;

- Fluent in English and Chinese;

- Approximately 7-10 years practicing in a law firm and/or in-house legal department;

- Must have experience in third party compliance;

- Experience and working knowledge of contractual terms related to the sale of goods and the provisions of technical services ;

- Value-added approach to all work;

- Strong work ethic and ability to manage multiple projects efficiently and effectively;

- Strong legal research and analytical skills;

- Ability to function with minimal administrative support including ability to work efficiently in the Microsoft Office suite;

- Willing and able to travel as needed;

- Mature judgment and discretion;

Preferred:

- Employment law experience either entirely in a law firm or in-house, or a

combination of law firm and in-house;

- Working knowledge and experience providing legal advice in connection with manufacturing sale and distribution activities;

- Working knowledge and experience negotiating non-disclosure/confidentiality agreements with an intellectual property component;

- Superior negotiation, advocacy and presentation skills .
